Here are the steps:

Name
Selecting a name for your Georgia LLC Company is one of the first decisions you must make for the creation of your legal Georgia Limited Liability Company. You give us your first three choices for the name of your Georgia company. We will perform a name availability search and always consider your first choice.

Filling the documents
Then we prepare your Articles of Organization in compliance with the current Georgia laws. The Articles of Organization are then filed with the proper office of the Secretary of State, conclusively creating the existence of your legal business entity. Then a detailed Operating Agreement for the company is drafted for use by the LLC Member(s). This Operating Agreement is the document that provides for operational direction and contingencies.

You have to provide us with:
  • Your company’s name
  • Your principal place of business
  • The purpose of the company
  • The company is managed by Manager or Member
  • Name and address of each organizer
  • Name and address of your registered agent
Registered Agent
The registered agent is the “hands” for the corporation. He or she is the person or entity designated by the corporation to receive service of a lawsuit or other official communication on its behalf. Many corporations use their attorney for this service. The registered agent’s address must be a physical street address in the state. A post office box or “mail drop” may not be used as the registered agent address. Learn about the benefits

LLC Taxes
Here are things to remember about taxes:
  1. A Georgia Limited Liability Company can be a “pass-through entity” for tax purposes. This means the LLC owner(s) report the profits or losses directly on their personal tax returns.
  2. Georgia LLC doesn’t pay taxes if single member or elects to be S corporation. Learn more
  3. You can obtain EIN (a/k/a Federal Identification Number), which is like a social security number for the company. Your Georgia LLC will need an EIN to open a bank account, and to provide to some vendors or customers. Learn more
Dissolution of a company
A dissolution of a Limited Liability Company can happen either by election of the Members, or involuntarily by the Secretary of the State. If a company is dissolved by the State, or “administratively dissolved” by the Secretary of State in accordance with law. Sometimes the corporation is not aware this has occurred. In most instances, a corporation is administratively dissolved because it failed to file its annual registration with the Secretary of State. This often occurs because the corporation is out of business. But it is also very common that the corporation moved its offices, the Secretary of State was not notified of the change, and the corporation’s annual registration form was not forwarded to the new address. Many times the annual registration is not filed due to a simple oversight. The Operating Agreement of the company may specify the events which will contribute to dissolving the company. This event could be a specific action or event, or a specific time.

A corporation that is administratively dissolved may file for reinstatement. However, if another entity has filed under that corporation’s name during the period of administrative dissolution, a new name must be selected.
